1. Acceptance of Terms

By accessing or using CodeModel ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

CodeModel is an AI coding assistant platform that provides access to multiple AI models through a unified API. The Service is operated by CodeModel ("we", "us", or "our").

2. Description of Service

CodeModel provides:

  • Access to multiple AI coding models through a unified API
  • Integration with Claude Code and other AI coding assistants
  • Team and workspace management features
  • Usage analytics and monitoring

3. Account Registration

To use CodeModel, you must:

  • Create an account using Google OAuth
  • Provide accurate and complete information
  • Be at least 18 years of age
  • Maintain the security of your account credentials and API keys

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Generate malicious code, malware, or exploit code
  • Create content that violates any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Attempt to reverse engineer or extract model weights
  • Circumvent rate limits or usage restrictions
  • Share your API keys with unauthorized parties
  • Use automated systems to abuse the Service
  • Generate harmful, harassing, or discriminatory content

We reserve the right to suspend or terminate accounts that violate these policies.

5. Subscription and Payment

5.1 Pricing

CodeModel offers various subscription plans with different features and usage limits. Current pricing is available on our pricing page.

5.2 Billing

Subscriptions are billed on a monthly basis. You authorize us to charge your payment method for the applicable fees.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds are provided for partial months.

6. API Keys and Security

Your API keys are confidential credentials. You must:

  • Keep your API keys secure and confidential
  • Not share API keys in public repositories or client-side code
  • Immediately regenerate keys if you suspect unauthorized access
  • Report any security incidents to us promptly

7. Intellectual Property

7.1 Your Content

You retain ownership of the code and content you submit to the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.

7.2 AI-Generated Output

Output generated by AI models through our Service is subject to the terms of the underlying AI providers. Generally, you may use AI-generated output for your purposes, subject to applicable laws.

7.3 Our Property

The CodeModel platform, branding, and documentation are our intellectual property. You may not copy, modify, or distribute our materials without permission.

8. Third-Party Services

CodeModel integrates with third-party AI providers (such as Anthropic, Google, and others). Your use of these providers through our Service is also subject to their respective terms of service and acceptable use policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Accuracy, reliability, or completeness of AI-generated output
  • Uninterrupted or error-free operation
  • Fitness for a particular purpose
  • Non-infringement of third-party rights

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEMODEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CodeModel and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Suspected fraudulent or abusive activity
  • Any reason with reasonable notice

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable law.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
